# Eligibility & Compliance

{% hint style="info" %}
*Investing in security tokens involves a high degree of risk, including the risk of a total loss of invested capital. It is important for investors to understand these before engaging. Full risk disclosure can be found in the relevant product documentation. Any decision to invest in security tokens should be based on a consideration of this product documentation as a whole by the investor.*

Midas is designed for a diverse ecosystem of onchain capital allocators who prioritise professional-grade infrastructure and regulatory clarity. Whether you are an institutional asset manager, a DAO treasury looking to diversify into real-world assets, a high-net-worth individual (crypto whale), or a sophisticated retail investor, our platform provides the tools to access institutional-grade strategies with the efficiency of DeFi.

#### Is Midas Right for You?

Investing in mTokens is considered a high-risk activity. Our products are best suited for investors who:

* **Are Crypto-Educated:** You possess a strong understanding of both traditional financial markets and the technical nuances of decentralised finance (DeFi).
* **Are Risk-Aware:** You are comfortable with the unique risks associated with smart contracts, oracle dependencies, and underlying asset volatility.
* **Value Market Integrity:** You align with our commitment to a fair and transparent ecosystem.

#### Who may not invest in our products?

To ensure the safety and integrity of the protocol, participation is strictly limited to users permitted under our formal offering documentation. We utilise a multi-layered technical stack to detect and restrict ineligible participants.

You are not eligible to invest if you fall into any of the following categories:

* **U.S. Persons:** Midas tokens are not offered to citisens of, or residents in, the United States of America.
* **Sanctioned Jurisdictions:** We do not offer services to persons located in countries or regions subject to comprehensive international sanctions
* **Sanctioned Individuals or Entities:** Any individual or entity identified on global financial sanctions or travel ban lists is prohibited.
* **Malicious Actors:** We have zero tolerance for users associated with illicit activities, such as money laundering, terrorism financing, or cybercrime.
* **Restricted Countries:** Users from jurisdictions that Midas deems to pose an unacceptable legal or regulatory risk will be blocked.

#### Compliance & Safety Checks

Midas employs "Technical Gates" to enforce these restrictions at both the application and protocol levels:

* **Geographic Filtering:** We use DNS-level filtering and high-fidelity IP intelligence to prevent platform interaction from restricted regions.
* **Wallet Screening:** Every interacting wallet is cross-referenced in against global sanctions lists and analyzed for "taint". This includes flagging proximity to illicit "mixers," known hacks, or fraudulent schemes.
* **KYC and AML verifications:** depending on the risk profile of a transaction or wallet, we may require investors to provide additional information before approving a subscription or a redemption. This may involve government ID checks or deeper "Source of Wealth" reviews.
* **Market Integrity:** We actively monitor for patterns suggestive of market abuse, such as wash trading or price distortion, to protect all token holders.
* **Professional Whitelisting:** Certain strategies are legally restricted to professional or institutional investors. These products require a manual onboarding process and explicit wallet whitelisting before you can interact with the smart contracts.

{% hint style="info" %}
*Midas reserves the right to perform necessary compliance checks and risk assessments at its sole discretion; we may refuse service, block access, or blacklist any actor, wallet, or entity that does not meet our internal safety standards or regulatory requirements.*

*In extreme cases, such as suspected wallet compromises, compliance breaches, or active exploits, Midas retains the ability to pause an mToken for specific individual users to prevent malicious transactions. This targeted control isolates threats at the user level, safeguarding the affected funds and the broader protocol without disrupting standard operations or liquidity for the rest of the user base.*
